“貨物”又稱“合同貨物”或“合同設備”指賣方根據合同應提供的設備、零部件、裝置、材料、備品備件、專用工器具、圖紙、資料和所有各種物品的總稱。
"Goods", also called "contract Goods" or "Contract Equipment" means the equipment, parts, device, materials, spare parts, drawings, information and a variety of items.
“服務” 又稱“技術服務” 系指根據本合同規(guī)定賣方承擔與供貨有關的服務，包括但不限于以下內容：設計、提供技術資料、運輸及保險、組裝及安裝指導、調試、試運行、質保、性能測試、運行、消缺(如有)、培訓、其他的伴隨服務以及合同中規(guī)定賣方應承擔的其他服務義務。
"Services", also called " Technical Services", means the supply-related services that the Seller undertakes pursuant to the Contract, including but not limited to the following: design, technical information, shipping and insurance, assembly and installation instructions, commissioning, trial run, quality assurance, performance testing, operation, defects elimination (if any), training, other services that occur concurrently and other service obligations specified in the contract that the Seller shall bear.

“天”指日歷天數。
"Day(s) " means the calendar day (s ).
預驗收：指賣方提供的設備安裝和安裝過程中的全部測試完畢(不含功率曲線和可利用率)。
Pre-acceptance means the completion of the equipment installation and all tests in the process of installation provided by the Seller (excluding power curve and availability).
從第一臺風機開始至最后一臺風機安裝測試、試運行完成為調試期，試運行應達到每臺風機連續(xù)無故障、正常運行240小時，并且在此期間如出現額定風速，機組應達到額定出力。
Commissioning period shall cover all the time to be spent on the installation, testing and the completion of commissioning from the first wind turbine to the last wind turbine.
Each wind turbine shall be trouble-free after continuous operation of 240 hours, and during this period, if there is rated wind speed, the unit shall achieve the rated output.
合格后賣方提交合格的安裝調試報告。
The Seller shall deliver a qualified installation and commissioning report after passing the commissioning.
調試期結束時，將簽發(fā)預驗收證書，證書由買方和賣方共同簽字。
Upon the end of the commissioning period, a pre-acceptance certifiCATe will be issued and signed by the Buyer and the Seller.
最終驗收：指全部風機質量保證期結束時的驗收，由買方向賣方簽發(fā)最終驗收證書。
Final acceptance refers to the acceptance at the expiration of warranty periods of all the wind turbines and shall be confirmed by a final acceptance certificate issued by the Buyer to the Seller.
質量保證期：指機組預驗收證書簽署后次日，至買賣雙方最終驗收書簽發(fā)生效日，時間為2年。
Warranty period shall last for two years, starting from the day following the signature of pre-acceptance certificate of the unit to the effective date of final acceptance certificate signed by the Seller and the Buyer.
在此期間，賣方保證貨物的正常、穩(wěn)定運行，并對出現的合同貨物缺陷予以排除。
During this period , the Seller shall ensure the normal , stable operation of the Goods , and eliminate any defects found in the Contract Goods.
試運行：是指合同貨物調試結束后，預驗收證書簽署前機組的運行。
Commissioning means the operation of the Contract Goods between the end of commissioning and the issuance of a pre- acceptance certificate.
設備交付：指合同貨物運至項目現場(賣方車板交貨)后，賣方指導下的買方卸貨、雙方共同的開箱、檢查、清點、驗收、買方簽署設備交付清單等相關工作。
Delivery of equipment means the unloading by the Buyer under the guidance of the Seller and other related work performed by the Seller and the Buyer, such as unpacking, inspection, stocktaking, acceptance and signing on the delivery list of equipment by the Buyer after the Contract Goods has been carried to the project site.
買方向賣方簽署設備交付清單后，該批貨物的產權歸屬買方，但不得減少或免除合同規(guī)定的賣方的其他義務和責任。
Upon signing on the delivery list of equipment by the Buyer, the property rights of the goods shall be proprietary to the Buyer, but shall not reduce or relieve the Seller 's other obligations and responsibilities under the Contract.
買方監(jiān)造：指買方有權自付費用派代表到買方工廠進行監(jiān)造[微軟用戶1] ，賣方提供相應的食宿等方便。
Supervision of the Buyer means that the Buyer has the right to send representatives to the Buyer's factory at its own expense to supervise manufacture while the Seller provides appropriate accommodation and other conveniences.
本合同下交付的貨物應符合技術規(guī)格所述的標準。
The Goods to be delivered under the Contract shall be in conformity with the standards prescribed by the technical specifications.
如果沒有提及適用標準，則應符合中華人民共和國官方標準，這些標準必須是有關機構發(fā)布的最新版本的標準。
If the appropriate standards are not applicable, the goods shall comply with the official standards specified by the People's Republic of China and the said standards shall be the latest ones released by relevant authorities.
預付款保證金
Advance Payment Bond
預付款保證金金額：合同總價的百分之五(5%)。
Advance payment bond shall be equal to 5% of the total contract price.
賣方應在合同簽署后七天內，向買方提交合同條款中所規(guī)定金額的預付款保證金。
The advance payment bond stipulated by the Contract shall be delivered by the Seller to the Buyer within seven (7) days after the signature of the Contract.
預付款保證金應采用人民幣，并采用下述方式提交：
Performance bond shall be denominated in Renminbi ("RMB") and delivered in the following manner:
銀行保函，由買方可接受的在中華人民共和國注冊和營業(yè)的銀行，或外國銀行通過在中華人民共和國注冊和營業(yè)的銀行提交。
Bank guarantee shall be submitted by the banks acceptable by the Buyer and registered and operated in the People's Republic of China or via the banks registered and operated in the People's Republic of China at the request of foreign banks.
其格式采用招標文件提供的格式或其他買方可接受的格式。
It shall be in the form prescribed in the tendering documents or other forms acceptable to the Buyer.
在賣方提供的首批設備進場移交并簽署交貨驗收單后十五天內，買方將把預付款保證金退還賣方。
The Buyer shall return advance payment bond to the Seller within 15 days after the delivery of the first batch of equipment and the signing of the letter of acceptance.
履約保證金金額：合同總價的百分之五(5%)。
Amount of performance bond shall be equal to 5% of the total contract price
賣方應在合同簽署后七天內，向買方提交合同條款中所規(guī)定金額的履約保證金。
The performance bond shall be delivered by the Seller to the Buyer in an amount as stipulated in the contract within 7 days after the signature of the Contract.

在賣方提供的全部設備預驗收合格后十五天內，買方將把履約保函退還賣方。
The buyer shall return performance guarantee to the Seller within 15 days after all the equipment supplied by the Seller have been checked and accepted as qualified.
檢驗和測試
Inspection and Test
買方和/或其代表有權檢驗和/或測試貨物，以確定貨物是否符合合同的要求。
The Buyer and/or its representative shall be entitled to inspect and/or test the goods to ascertain whether the goods meet the requirements of the Contract.
買方和/或其代表的檢驗和/或測試不能減免賣方基于本合同應盡的義務和應承擔的責任。
The obligations to be performed by the Seller and the liabilities to be undertaken by the Seller may not be diminished or exempted under the Contract despite the inspection and test conducted by the Buyer and its representative.
買方和/或其代表對貨物進行檢驗和/或測試不承擔額外的費用。
Additional expenses incurred in the process of inspection and/or test on the goods are not borne by the Buyer and/or its representative.
賣方應提前三十天向買方發(fā)出貨物檢驗和測試通知，該通知應載明(包括但不限于)檢驗和測試的內容、時間、地點等信息，買方應在收到該通知后十四天內確認是否參加上述檢驗和/或測試。
The Seller shall issue an inspection and test notice of goods to the Buyer 30 days in advance.
The notice shall set forth, including but not limited to, the contents, time and places of the inspection and test.
The Buyer shall determine whether to participate in the foregoing inspection and/or test within 14 days after receipt of the notice.
檢驗和/或測試可以在賣方或其分包人的駐地、交貨地點和/或貨物的最終目的地進行。
Inspection and/or test may be conducted at the business places of the Seller or its subcontractors, the place of delivery and/or the final destination of the goods.
如果在賣方或其分包人的駐地進行，買方和/或其代表應能得到全部合理的設施和協助，買方不應承擔費用。
If the Inspection and/or test is conducted at the business places of the Seller or its subcontractor, the Buyer and/or its representatives shall have an access to all the feasible facilities and assistance, provided that the Buyer shall not bear any expenses.
如果任何被檢驗或測試的貨物不能滿足合同的要求，買方可以拒絕接受該貨物。
If any inspected or tested goods do not conform with the Contract, the Buyer may refuse to accept the said goods.
賣方應免費更換被拒絕的貨物，或者免費進行必要的修改以滿足規(guī)格的要求。
The Seller shall replace the refused goods or make necessary modifications free of charge so that these goods meet the standards.
整個安裝過程須在賣方現場技術服務人員指導下進行。
The whole procedure of installation shall be carried out in the presence of the Seller's technical service personnel and under their direction.
重要工序完成后須經賣方現場技術服務人員簽字確認。
Upon completion of an important process, it must be verified by on-site technical service personnel from the Seller with signature.
重要工序清單及相關技術資料由賣方于合同貨物開始組裝前二十一天提供。
List of important processes and relevant technical information will be provided by the Seller within 21 days prior to the assembly of the Contract Goods.
賣方人員應負責對下述工作(包括但不限于)進行指導：安裝的準備工作，機組和塔筒的現場安裝和裝配、接地及防雷系統的安裝工作，指導買方的人員按要求的精度和質量完成安裝工作。
The Seller shall be responsible to conduct the following work (including but not limited to): preparation for installation, field installation and assembly of units and towers, installation of grounding and lightning protection system and rendition of guidance when the Buyer's personnel complete the installation according to the required accuracy and quality.
安裝過程中，賣方現場技術服務人員應保證在場且對重要工序及時進行確認。
During installation, the Seller’s on-site technical service personnel shall be at present and confirm the important working procedures in a timely manner.
若買方按賣方技術資料規(guī)定和現場技術服務人員的指導、賣方現場技術服務人員簽字確認而出現問題，賣方承擔責任；若買方未按賣方的技術資料規(guī)定和現場技術服務人員指導進行工作而出現問題，買方自行負責(設備自身問題除外)。
If any problems still arise after the Buyer has conducted its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel and the Seller’s on-site technical service personnel have confirmed the installation by signature, the Seller shall hold the liability thereof.
If any problems arise from the Buyer’s failure to conduct its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel, the Buyer shall hold the liability thereof at its own risk (except for the problems with equipment itself ).
貨物安裝和試運行期間如果賣方的技術人員指導有誤或賣方提供的圖紙有誤和/或賣方原因造成設備缺陷和/或設備損壞等，賣方應立即予以修補和/或更換，并承擔由此產生的相關費用。
During installation and commissioning of the goods, if any equipment defects and/or damage to equipment are caused by the Seller's technical personnel’s incorrect guidance or wrong drawings provided by the Seller or the Seller itself, the Seller shall promptly repair and / or replace such equipment and be liable for all the costs that may be incurred therefor.
賣方負責對貨物進行運行調試，包括但不限于單機調試、并網調試以及整場調試。
The Seller is responsible to debug the operation of the goods, including but not limited to stand-alone commissioning, synchronizing commissioning and entire field commissioning.
從第一臺(套)貨物開始至最后一臺(套)貨物安裝測試、試運行完成為調試期，調試按場內集電線路組數分批進行。
The period of commissioning starts from the installation, test and trial run of the first wind turbine to those of the last wind turbine.
試運行應達到每臺(套)貨物連續(xù)無故障、正常運行240小時，且完成國家行業(yè)規(guī)范及制造廠規(guī)定的性能測試并合格，且賣方提交合格的安裝調試報告。
During the commissioning period, each set of goods shall continuously, normally operate for 240 hours without any failures, undergo and pass equipment performance test stipulated by the professional standards of the state and manufacturer; the Seller shall submit qualified installation and commissioning report.
在賣方完成2年質量保證期內的全部工作，合同設備質保期結束并完成支付合同規(guī)定的違約金(如有)以及索賠(如有)，雙方簽署最終驗收證書。
Both parties will sign the final acceptance certificate on the condition that the Seller completes all the work in the 2 -year warranty period, the warranty period of the Contract Equipment expires and the Seller pays off all the penalties (if any) or claims (if any).
潛在缺陷指設備的隱患在正常情況下不能在制造和短期運行過程中被發(fā)現。
Potential defect refers to the equipment hazards which cannot be discovered in the manufacturing and short-term operation under the existing technical conditions or normal conditions.
若貨物發(fā)現存在潛在缺陷，賣方應及時對全部存在潛在缺陷的貨物進行消缺、修理或更換，對糾正潛在缺陷負責并承擔相應費用。
If the potential defects of the goods are to be found, the Seller shall repair and replace them in a timely manner, and shall be responsible for the correction of these defects and bear the expenses inflicted by these endeavors.
買方代表如發(fā)現設備和材料存在缺陷和/或不符合本規(guī)定的標準和/或包裝要求時，有權提出意見并暫不予以確認，賣方須自費采取必要措施排除缺陷或不符合本合同規(guī)定之處，當缺陷排除后，買方有權再次對貨物進行檢驗和測試，以保證交貨質量。
The Buyer's representative has the right to put forward opinions and temporarily not to make an confirmation as and when defects of equipment and materials are found and/or not in conformity with the standards and/or package requirements.
The Seller must take necessary measures at his own costs to eliminate such defects or other aspects that do not comply with the provisions of the Contract.
After the elimination of defects, the Buyer has the right to inspect and test the same goods once again to guarantee the quality of the delivery.
無論買方代表是否要求和是否知道，賣方均有義務主動及時地向買方提供合同設備制造過程中出現的質量缺陷和問題，不得隱瞞，在買方不知道的情況下賣方不得擅自處理。
The Seller has an obligation to report, without concealment, the Buyer any defects in quality and problems arising in the process of manufacture of the Contract Equipment on its own initiative in a timely manner, whether the Buyer's representatives require or know these or not and the Seller may not arbitrarily solve these problems before the Buyer knows them.
在交貨前，賣方應對每臺(套)貨物的質量、規(guī)格、性能、數量和重量等進行詳細而全面的檢驗，并出具一份證明貨物符合合同規(guī)定的檢驗證書。
Prior to delivery, the Seller shall carry out detailed and comprehensive inspection on each sets of goods in quality, specifications, performance, quantity and weight and issue an inspection certificate to conform that the goods is in conformity with the Contract.
發(fā)貨后兩天內，通過EMS將檢驗證書復印件寄送給買方。
The Seller shall send a copy of inspection certificate to the Buyer by EMS 2 days after shipment.
檢驗證書正本隨貨物一并交付買方。
The original inspection certificate, together with the goods, shall be delivered to the Buyer.
賣方應提供貨物運至合同規(guī)定的最終目的地所需要的包裝，以防止貨物在轉運中損壞或變質。
The Seller shall provide package required to transport the goods to final destination stipulated in the Contract to prevent any damage or deterioration to the goods in the course of transshipment.
這類包裝應采取防潮、防曬、防銹、防腐蝕、防震動及防止其它損壞的必要保護措施，從而保護貨物能夠經受多次裝卸、搬運及內陸的長途運輸，同時賣方對貨物的包裝應便于裝卸。
The Seller shall take necessary protective measures for this kind of packaging as damp-proof, free from sunshine, rust-proof, anti-corrosion, vibration-proof and other damages so that the protected goods can withstand repeated loading and unloading, handling and inland line-haul, and the Seller shall make packaging convenient for loading/unloading.
賣方應承擔由于其包裝或其防護措施不妥而引起貨物銹蝕、損壞和丟失的任何損失的責任和/或費用。
The Seller shall bear any responsibility and/or cost for any rusting, damage and loss of the goods incurred by its inappropriate packaging or preventive measures.

If single packing carton weighs 2 tons or more, the Seller shall mark with such words as“Center of gravity” and "Lifting point" on both sides of the packing carton for easy loading, unloading and transport.

According to characteristics of goods and different requirements of transportation, the Seller shall mark on the packing cartons with such words as "Handle With Care", "This Side Up", “Keep Upright” and " Keep Dry" or other appropriate marks.
裝運條件
Terms of shipping
本合同下貨物交貨到項目現場的買方指定地點(車上交貨)。
The goods herein shall be delivered at the place in a project site defined by the Buyer (FOT).
賣方裝運的貨物不應超過合同規(guī)定的數量或重量。
The quantity or weight of the goods loaded and transported by the Seller is not allowed to exceed those stipulated in the Contact.
否則，買方對由此產生的一切費用和后果不承擔責任。
Otherwise, the Buyer shall not bear any costs and consequences therefrom.
裝運通知
Shipping Advice
賣方應在預計的裝運日期之前二十一天以傳真形式將合同號、貨物名稱、數量、箱數、總毛重、總體積(用m3表示)和備妥待運的日期通知買方，同時，賣方應用EMS把詳細的貨物清單一式五份，包括但不限于合同號、貨物名稱、規(guī)格、數量、總毛重、總體積(用m3表示)、每箱尺寸(長×寬×高)、單價、總金額、啟運地、備妥待運日期和貨物在運輸、儲存中的特殊要求和注意事項等通知買方。
Twenty one (21) days before expected shipping date, the Seller shall notify in FAX the Buyer of the Contract NO.
, description of goods, quantity, number of cartons, GW, TV (in m3), and date ready for shipping.
Meanwhile, the Seller shall inform the Buyer by EMS of detailed list of goods in 5 copies, including but not limited to the Contract No.
, description of goods specification, quantity, GW, TV (in m3), size (length ×? width ×height) of each packing carton, unit price, total amount, place of departure, date ready for shipping, as well as special requirements and precautions during transportation and stowing of goods.
賣方應在貨物裝完后二十四小時之內以傳真形式將合同號、貨物名稱、數量、總毛重、合同貨物的凈重、車次、預計到達目的地的時間、體積(用m3表示)、發(fā)票金額、運輸工具名稱及啟運日期通知買方。
Within 24 hours after loading the goods, the Seller shall notify the Buyer by facsimile of the Contract No, description of goods, quantity, gross weight, net weight of Contract Goods, vehicle No.
, estimated arrival time, volume (in m3), invoice value, conveyance name and date of departure.
同時應該傳真運單、保險單、商業(yè)發(fā)票、裝箱單、產品質量檢驗證書。
Meanwhile, the Seller shall fax shipping documents, insurance policy, commercial invoice, packing list and inspection certificate of quality.
如果每個包裝箱的重量超過20噸(t)，或體積達到或超過長12米(m)，寬2.
7米(m)和高3米(m)，賣方應將每個包裝箱的重量和體積通知買方，易燃品或危險品的細節(jié)還應另行注明。
If the weight of each packing carton is more than 20 tons or its volume is or more than 12m (length) ×? 2.
7m (width) ×? 3m (height), the Seller shall inform the Buyer of the volume and weight of each packing carton.
Also, details on inflammable or dangerous goods shall be noted separately.
賣方應在合同貨物裝運后(運單之日后)二(2)天內將運單副本一(1)份，保險單副本一(1)份，發(fā)票副本一(1)份，裝箱單一(1)份，產品質量檢驗證書復印件一(1)份通過EMS郵寄給收貨人。
In two (2) days after goods is loaded and shipped, the Seller shall send the consignee by EMS some documents including one (1) duplicate of waybill, one (1) copy of the insurance policy, one (1) duplicate of invoice, one (1) copy of packing list and one (1) copy of quality inspection certificate.
如果是因為賣方延誤不能用傳真形式和快遞將上述內容通知和寄送給買方，使買方不能及時辦理有關手續(xù)或安排收貨準備，由此而造成的全部損失應由賣方負責。
The Seller shall be responsible for all loss if he fails to inform the Buyer of and send to the Buyer all above information by Fax or Express, causing the Buyer not be able to handle related procedures or arrange preparation for receiving goods on time.
合同設備的保險
Insurance of Contract Equipment
賣方應對合同設備向買方項目公司所在地的保險公司以買方為受益人進行投保，使其免受一切損失或損害。
The Seller shall insure the contract equipment in favor of the Buyer in the insurance company where the Buyer’s project company is located to make it avoid all loss or damage.
賣方應對合同設備，根據水運、陸運和空運等運輸方式，向買方項目公司所在地的保險公司以買方為受益人投保發(fā)運合同設備價格110%的運輸一切險，保險區(qū)段為賣方倉庫到項目現場安裝后90日止。
Based on mode of transportation such as by sea, land or air, the Seller shall insure 110% all risk for the Contract Equipment in favor of the Buyer in the insurance company where the Buyer’s project company is located.
Also, the insurance begins until 90 days after the machine is from the Seller’s stock to the installation on site.
賣方應將合同設備運輸保險合同的副本于每一批設備交貨前10日提供給買方。
The Seller shall send the Buyer the duplicate of shipping insurance contract of Contract Equipment 10 days before each batch of equipment is delivered.
由于賣方原因未能提供以上保險合同副本，其發(fā)生的連帶責任將全部由賣方承擔。
The Seller shall bear all joint liabilities because the Seller fails to provide above copy of insurance contract on time.
運輸

賣方應負責辦理、支付將貨物運至項目現場一切運輸事項，相關費用已包括在合同總價中。
The Seller shall be responsible for handling and paying all transportation matters concerning delivery of the goods to the project site , the relevant cost is included in total contract price.
伴隨服務
Accompanying Services
賣方提供下列服務，包括但不限于合同條款與技術規(guī)格規(guī)定的服務：
The Seller shall provide following services, including but not limited to the services stipulated in Contract and technical specification.
提供微觀選址的復核服務；
Provide the recheck service for micro locating:
提供貨物及(包括但不限于)塔筒、基礎、通信方案等的設計、優(yōu)化、改進，在必要時對貨物進行改進，及時提供相應的技術資料，并應保證提供的設計、優(yōu)化、改進以及相關資料適合中水電江蘇如東海上風電場(潮間帶)100MW示范項目；
Provide goods (including but not limited to) and the design, optimization and improvement of tower, foundation and communication plans, when necessary, carry out improvement of the goods, provide corresponding technical data timely, and guarantee that the provided design, optimization, improvement and related technical data are suitable for the Jiangsu Rudong Offshore Wind Farm (Intertidal Zone) 100MW Demonstration Project of Sinohydro Corporation.
提供塔筒及其配件的監(jiān)造和/或技術指導；
Provide manufacture supervision and/or technical guidance of tower and its components;
實施和/或監(jiān)督所供貨物的現場組裝、安裝、調試和試運行；
Implement and/or supervise the site assembly, installation, commissioning and trial run of supplied goods;
提供貨物組裝和/或安裝和/或維修所需的工具；
Provide tools required for assembly and/or installation and/or maintenance of supplied goods;
為所供的每一適當的單臺(套)貨物提供詳細、完整的操作和維護手冊；為每一單臺(套)貨物作詳細、完整的組裝、安裝及調試記錄；
Provide detailed and complete operation and maintenance manuals for each proper set of goods; make detailed and complete record for assembly, installation and trial run for each proper set of goods;
對買方人員在賣方駐地和/或賣方分包人駐地和/或在項目現場就賣方所供貨物的組裝、安裝、試運行、運行、維護和/或修理進行培訓。
The Seller shall carry out training on assembly, installation, trial run, operation, maintenance and/or repair of the Buyer's employees at the Seller’s premises and/or the Seller’s subcontractor's premises and/or project site.
賣方應提供合同條款/技術規(guī)格中規(guī)定的所有服務。
The Seller shall provide all the services stipulated in the Contract or technical specifications.
為履行要求的伴隨服務的報價或雙方商定的費用已包括在合同總價中。
The fees for accompanying services or expenses agreed between both parties are included in the total contract price.

如果賣方提供合同條款/技術規(guī)格中規(guī)定的所有服務以外其他伴隨服務且費用未含在貨物的合同總價中，雙方應事先就其達成協議，但其費用單價不應超過賣方向其他人提供類似服務所收取的現行單價。
If the Seller provides other accompanying services excluded in the Contract/technical specifications and the fee is not included in total contract price, it should be agreed between both parties in advance, but its unit price should not exceed the current expense payable by other Seller's clients.
備件
Spare Parts
賣方提供二(2)年質保期內的備品備件，質保期結束后，賣方應補齊備品備件。
The Seller shall provide spare parts within a warranty period of 2 years, and the Seller shall make up all spare parts after warranty period.
質保期滿后五(5)年內，賣方應保證提供的備品備件價格不高于同期市場價格。
The Seller shall guarantee to provide spare parts at a price not higher than the market price in the same period within five (5) years after warranty period.
在原有備件停止生產后，賣方有義務開辟新的供應渠道和/或尋找替代原有備件的替代備件并滿足買方的備件需求；如果買方要求，賣方應免費向買方提供替代備件的藍圖、圖紙和規(guī)格等。
If the original spare parts are out of production, the Buyer shall be under the obligation to develop new supply channel and/or find substitution parts to meet the Buyer's requirements.
Upon the Buyer's requirement, the Seller shall offer blueprint, drawing and specification on substitution spare parts.
賣方應保證合同項下所供貨物是全新的、未使用過的、是最新或目前的型號，除非合同另有規(guī)定，貨物應含有設計上和材料的全部最新改進。
The Seller shall guarantee that all the goods under Contract should be unused, brand new, of the latest and current model, unless otherwise provided for in the Contract.
Goods shall include all latest improvement in design and materials.
賣方進一步保證，合同項下提供的全部貨物沒有設計、材料和/或工藝上的缺陷(由于按買方自身原因而提出的要求設計或按買方的規(guī)格提供的材料所產生的缺陷除外)，或者沒有因賣方的行為和/或疏忽而產生的缺陷，這些缺陷是所供貨物在國內現行條件下正常使用可能產生的。
The Seller further guarantees that all goods provided herein are free from any defect in design, material and/or workmanship (no including the defect due to the design requirement of the Buyer itself or manufactured according to the material provided by the Buyer), or without any defects due to the Buyer's action and /or negligence, these defects should be possible in the normal operation under current condition in our country.
賣方應在首批合同設備供貨前向買方提供第三方權威機構出具的與合同貨物同型號產品的認證證書。
Before supplying the first batch of the Contract Goods, the Seller shall provide the Buyer with certificates of same model as that of Contract Goods issued by an authoritative third party.
質量保證期內，賣方應對所提供合同設備的設備可利用率和功率曲線給予保證，貨物的可利用率和功率曲線特性的保證值見技術規(guī)范部分。
Within the warranty period, the Seller shall guarantee the availability and power curve of provided Contract Equipment, see technical specifications for the guaranteed values of availability and power curve for the goods.
買方以書面形式通知賣方保證期內所發(fā)現的缺陷。
The Buyer informs the Seller of the defects found in the warranty period in writing.
售后服務要求：
Requirements of After-Sales Service:
在質量保證期內，如出現產品質量問題，賣方應在接到買方發(fā)出的設備故障信息后二十四小時內予以響應，并在雙方商定時限內或七十二小時內須到達現場開始解決問題。
If there is quality problem in warranty period, the Seller shall respond to equipment failure information issued by the Buyer in 24 hours and must arrive at spot within the time agreed by both parties, or start to eliminate the problems in 72 hours.
賣方應免費維修或更換有缺陷的貨物或部件。
The Seller shall provide free maintenance or replacement of defective goods or parts.
賣方應自費將被修理或更換的貨物或部件運至項目現場或買方指定的最終目的地
The Seller shall send the maintained or replaced components or goods to the project site or destination specified by the Buyer.
在質量保證期內，貨物或部件(包括但不限于葉片、變槳系統、發(fā)電機、變流系統、輪轂、偏航軸承、主軸)需要更換或修理，那么經更換或修理的貨物或部件的質量保證期應為買方對更換或修理設備重新預驗收合格后次日起二年。
If the goods or components are replaced or repaired in warranty period (including but not limited to vanes, pitch systems, generators, variable-flow systems, wheels spiders, yaw bearings, and main axle), the warranty period for replaced or repaired goods or components shall be two years starting from the following day after the Buyer carries out pre-acceptance for the replaced or repaired equipment.
如果有缺陷的合同設備需要調整或校準而使合同設備運行被迫停止，如其責任屬于賣方，質量保證期應按照停運的時間相應延長。
When the defective equipment has to be adjusted or corrected to stop operation of the Contract Equipment, in case it is the Seller's responsibility, the warranty period shall be extended according to down time period.
如果合同設備有重大缺陷，經過修理或更換，貨物六個月后(自調試完成之日起)仍不能通過試運行，買方有權要求賣方更換整臺(套)貨物。
If the Contract Equipment has crucial defects, which cannot pass the trial run six months (starting from the date after commissioning) after it is repaired or replaced, the Buyer has the right to ask the Seller to replace the set of goods.
賣方保證合同設備的設計使用壽命不少于二十年。
The Seller warrants that the designed service life for the Contract Equipment is not less than 20 years.
貨物實際功率曲線比保證功率曲線保證值每降低百分之一(1％)，賠償該臺(套)貨物合同總價的百分之一(1％)。
If the average power curve of the goods is one percent (1%) lower than guaranteed power curve, the Seller shall compensate one percent （1%） of the total contract price for the set of goods.
賠償總額不超過該臺設備總價的百分之十(10％)。
The aggregate amount of compensation does not exceed ten percent (10%) of the total Contract Equipment price.
合同設備平均可利用率比保證平均可利用率保證值每降低百分之一(1％)，賠償合同設備總價的百分之一(1％)，賠償總額不超過合同總價的百分之十二(12％)。
If the average availability of the Contract Equipment is one percent (1%) lower than guaranteed availability, the Seller shall compensate one percent （1%） of the total Equipment Price, but the aggregate amount of compensation should not exceed twelve percent (12%) of the total Contract Price.
如果單臺機組可利用率低于百分之八十(80％)，賣方應無償為買方更換新的合同設備。
If the availability of a single unit is lower than eighty percent (80%), the Seller shall replace this unit with a new one for free.
"Goods", also called "contract Goods" or "Contract Equipment" means the equipment, parts, device, materials, spare parts, drawings, information and a variety of items.
“服務” 又稱“技術服務” 系指根據本合同規(guī)定賣方承擔與供貨有關的服務，包括但不限于以下內容：設計、提供技術資料、運輸及保險、組裝及安裝指導、調試、試運行、質保、性能測試、運行、消缺(如有)、培訓、其他的伴隨服務以及合同中規(guī)定賣方應承擔的其他服務義務。
"Services", also called " Technical Services", means the supply-related services that the Seller undertakes pursuant to the Contract, including but not limited to the following: design, technical information, shipping and insurance, assembly and installation instructions, commissioning, trial run, quality assurance, performance testing, operation, defects elimination (if any), training, other services that occur concurrently and other service obligations specified in the contract that the Seller shall bear.

"Day(s) " means the calendar day (s ).
預驗收：指賣方提供的設備安裝和安裝過程中的全部測試完畢(不含功率曲線和可利用率)。
Pre-acceptance means the completion of the equipment installation and all tests in the process of installation provided by the Seller (excluding power curve and availability).
從第一臺風機開始至最后一臺風機安裝測試、試運行完成為調試期，試運行應達到每臺風機連續(xù)無故障、正常運行240小時，并且在此期間如出現額定風速，機組應達到額定出力。
Commissioning period shall cover all the time to be spent on the installation, testing and the completion of commissioning from the first wind turbine to the last wind turbine.
Each wind turbine shall be trouble-free after continuous operation of 240 hours, and during this period, if there is rated wind speed, the unit shall achieve the rated output.
合格后賣方提交合格的安裝調試報告。
The Seller shall deliver a qualified installation and commissioning report after passing the commissioning.
調試期結束時，將簽發(fā)預驗收證書，證書由買方和賣方共同簽字。
Upon the end of the commissioning period, a pre-acceptance certifiCATe will be issued and signed by the Buyer and the Seller.
最終驗收：指全部風機質量保證期結束時的驗收，由買方向賣方簽發(fā)最終驗收證書。
Final acceptance refers to the acceptance at the expiration of warranty periods of all the wind turbines and shall be confirmed by a final acceptance certificate issued by the Buyer to the Seller.
質量保證期：指機組預驗收證書簽署后次日，至買賣雙方最終驗收書簽發(fā)生效日，時間為2年。
Warranty period shall last for two years, starting from the day following the signature of pre-acceptance certificate of the unit to the effective date of final acceptance certificate signed by the Seller and the Buyer.
在此期間，賣方保證貨物的正常、穩(wěn)定運行，并對出現的合同貨物缺陷予以排除。
During this period , the Seller shall ensure the normal , stable operation of the Goods , and eliminate any defects found in the Contract Goods.
試運行：是指合同貨物調試結束后，預驗收證書簽署前機組的運行。
Commissioning means the operation of the Contract Goods between the end of commissioning and the issuance of a pre- acceptance certificate.
設備交付：指合同貨物運至項目現場(賣方車板交貨)后，賣方指導下的買方卸貨、雙方共同的開箱、檢查、清點、驗收、買方簽署設備交付清單等相關工作。
Delivery of equipment means the unloading by the Buyer under the guidance of the Seller and other related work performed by the Seller and the Buyer, such as unpacking, inspection, stocktaking, acceptance and signing on the delivery list of equipment by the Buyer after the Contract Goods has been carried to the project site.
買方向賣方簽署設備交付清單后，該批貨物的產權歸屬買方，但不得減少或免除合同規(guī)定的賣方的其他義務和責任。
Upon signing on the delivery list of equipment by the Buyer, the property rights of the goods shall be proprietary to the Buyer, but shall not reduce or relieve the Seller 's other obligations and responsibilities under the Contract.
買方監(jiān)造：指買方有權自付費用派代表到買方工廠進行監(jiān)造[微軟用戶1] ，賣方提供相應的食宿等方便。
Supervision of the Buyer means that the Buyer has the right to send representatives to the Buyer's factory at its own expense to supervise manufacture while the Seller provides appropriate accommodation and other conveniences.
本合同下交付的貨物應符合技術規(guī)格所述的標準。
The Goods to be delivered under the Contract shall be in conformity with the standards prescribed by the technical specifications.
如果沒有提及適用標準，則應符合中華人民共和國官方標準，這些標準必須是有關機構發(fā)布的最新版本的標準。
If the appropriate standards are not applicable, the goods shall comply with the official standards specified by the People's Republic of China and the said standards shall be the latest ones released by relevant authorities.
預付款保證金
Advance Payment Bond
預付款保證金金額：合同總價的百分之五(5%)。
Advance payment bond shall be equal to 5% of the total contract price.
賣方應在合同簽署后七天內，向買方提交合同條款中所規(guī)定金額的預付款保證金。
The advance payment bond stipulated by the Contract shall be delivered by the Seller to the Buyer within seven (7) days after the signature of the Contract.
預付款保證金應采用人民幣，并采用下述方式提交：
Performance bond shall be denominated in Renminbi ("RMB") and delivered in the following manner:
銀行保函，由買方可接受的在中華人民共和國注冊和營業(yè)的銀行，或外國銀行通過在中華人民共和國注冊和營業(yè)的銀行提交。
Bank guarantee shall be submitted by the banks acceptable by the Buyer and registered and operated in the People's Republic of China or via the banks registered and operated in the People's Republic of China at the request of foreign banks.
其格式采用招標文件提供的格式或其他買方可接受的格式。
It shall be in the form prescribed in the tendering documents or other forms acceptable to the Buyer.
在賣方提供的首批設備進場移交并簽署交貨驗收單后十五天內，買方將把預付款保證金退還賣方。
The Buyer shall return advance payment bond to the Seller within 15 days after the delivery of the first batch of equipment and the signing of the letter of acceptance.
履約保證金金額：合同總價的百分之五(5%)。
Amount of performance bond shall be equal to 5% of the total contract price
賣方應在合同簽署后七天內，向買方提交合同條款中所規(guī)定金額的履約保證金。
The performance bond shall be delivered by the Seller to the Buyer in an amount as stipulated in the contract within 7 days after the signature of the Contract.

在賣方提供的全部設備預驗收合格后十五天內，買方將把履約保函退還賣方。
The buyer shall return performance guarantee to the Seller within 15 days after all the equipment supplied by the Seller have been checked and accepted as qualified.
檢驗和測試
Inspection and Test
買方和/或其代表有權檢驗和/或測試貨物，以確定貨物是否符合合同的要求。
The Buyer and/or its representative shall be entitled to inspect and/or test the goods to ascertain whether the goods meet the requirements of the Contract.
買方和/或其代表的檢驗和/或測試不能減免賣方基于本合同應盡的義務和應承擔的責任。
The obligations to be performed by the Seller and the liabilities to be undertaken by the Seller may not be diminished or exempted under the Contract despite the inspection and test conducted by the Buyer and its representative.
買方和/或其代表對貨物進行檢驗和/或測試不承擔額外的費用。
Additional expenses incurred in the process of inspection and/or test on the goods are not borne by the Buyer and/or its representative.
賣方應提前三十天向買方發(fā)出貨物檢驗和測試通知，該通知應載明(包括但不限于)檢驗和測試的內容、時間、地點等信息，買方應在收到該通知后十四天內確認是否參加上述檢驗和/或測試。
The Seller shall issue an inspection and test notice of goods to the Buyer 30 days in advance.
The notice shall set forth, including but not limited to, the contents, time and places of the inspection and test.
The Buyer shall determine whether to participate in the foregoing inspection and/or test within 14 days after receipt of the notice.
檢驗和/或測試可以在賣方或其分包人的駐地、交貨地點和/或貨物的最終目的地進行。
Inspection and/or test may be conducted at the business places of the Seller or its subcontractors, the place of delivery and/or the final destination of the goods.
如果在賣方或其分包人的駐地進行，買方和/或其代表應能得到全部合理的設施和協助，買方不應承擔費用。
If the Inspection and/or test is conducted at the business places of the Seller or its subcontractor, the Buyer and/or its representatives shall have an access to all the feasible facilities and assistance, provided that the Buyer shall not bear any expenses.
如果任何被檢驗或測試的貨物不能滿足合同的要求，買方可以拒絕接受該貨物。
If any inspected or tested goods do not conform with the Contract, the Buyer may refuse to accept the said goods.
賣方應免費更換被拒絕的貨物，或者免費進行必要的修改以滿足規(guī)格的要求。
The Seller shall replace the refused goods or make necessary modifications free of charge so that these goods meet the standards.
整個安裝過程須在賣方現場技術服務人員指導下進行。
The whole procedure of installation shall be carried out in the presence of the Seller's technical service personnel and under their direction.
重要工序完成后須經賣方現場技術服務人員簽字確認。
Upon completion of an important process, it must be verified by on-site technical service personnel from the Seller with signature.
重要工序清單及相關技術資料由賣方于合同貨物開始組裝前二十一天提供。
List of important processes and relevant technical information will be provided by the Seller within 21 days prior to the assembly of the Contract Goods.
賣方人員應負責對下述工作(包括但不限于)進行指導：安裝的準備工作，機組和塔筒的現場安裝和裝配、接地及防雷系統的安裝工作，指導買方的人員按要求的精度和質量完成安裝工作。
The Seller shall be responsible to conduct the following work (including but not limited to): preparation for installation, field installation and assembly of units and towers, installation of grounding and lightning protection system and rendition of guidance when the Buyer's personnel complete the installation according to the required accuracy and quality.
安裝過程中，賣方現場技術服務人員應保證在場且對重要工序及時進行確認。
During installation, the Seller’s on-site technical service personnel shall be at present and confirm the important working procedures in a timely manner.
若買方按賣方技術資料規(guī)定和現場技術服務人員的指導、賣方現場技術服務人員簽字確認而出現問題，賣方承擔責任；若買方未按賣方的技術資料規(guī)定和現場技術服務人員指導進行工作而出現問題，買方自行負責(設備自身問題除外)。
If any problems still arise after the Buyer has conducted its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel and the Seller’s on-site technical service personnel have confirmed the installation by signature, the Seller shall hold the liability thereof.
If any problems arise from the Buyer’s failure to conduct its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel, the Buyer shall hold the liability thereof at its own risk (except for the problems with equipment itself ).
貨物安裝和試運行期間如果賣方的技術人員指導有誤或賣方提供的圖紙有誤和/或賣方原因造成設備缺陷和/或設備損壞等，賣方應立即予以修補和/或更換，并承擔由此產生的相關費用。
During installation and commissioning of the goods, if any equipment defects and/or damage to equipment are caused by the Seller's technical personnel’s incorrect guidance or wrong drawings provided by the Seller or the Seller itself, the Seller shall promptly repair and / or replace such equipment and be liable for all the costs that may be incurred therefor.
賣方負責對貨物進行運行調試，包括但不限于單機調試、并網調試以及整場調試。
The Seller is responsible to debug the operation of the goods, including but not limited to stand-alone commissioning, synchronizing commissioning and entire field commissioning.
從第一臺(套)貨物開始至最后一臺(套)貨物安裝測試、試運行完成為調試期，調試按場內集電線路組數分批進行。
The period of commissioning starts from the installation, test and trial run of the first wind turbine to those of the last wind turbine.
試運行應達到每臺(套)貨物連續(xù)無故障、正常運行240小時，且完成國家行業(yè)規(guī)范及制造廠規(guī)定的性能測試并合格，且賣方提交合格的安裝調試報告。
During the commissioning period, each set of goods shall continuously, normally operate for 240 hours without any failures, undergo and pass equipment performance test stipulated by the professional standards of the state and manufacturer; the Seller shall submit qualified installation and commissioning report.
在賣方完成2年質量保證期內的全部工作，合同設備質保期結束并完成支付合同規(guī)定的違約金(如有)以及索賠(如有)，雙方簽署最終驗收證書。
Both parties will sign the final acceptance certificate on the condition that the Seller completes all the work in the 2 -year warranty period, the warranty period of the Contract Equipment expires and the Seller pays off all the penalties (if any) or claims (if any).
潛在缺陷指設備的隱患在正常情況下不能在制造和短期運行過程中被發(fā)現。
Potential defect refers to the equipment hazards which cannot be discovered in the manufacturing and short-term operation under the existing technical conditions or normal conditions.
若貨物發(fā)現存在潛在缺陷，賣方應及時對全部存在潛在缺陷的貨物進行消缺、修理或更換，對糾正潛在缺陷負責并承擔相應費用。
If the potential defects of the goods are to be found, the Seller shall repair and replace them in a timely manner, and shall be responsible for the correction of these defects and bear the expenses inflicted by these endeavors.
買方代表如發(fā)現設備和材料存在缺陷和/或不符合本規(guī)定的標準和/或包裝要求時，有權提出意見并暫不予以確認，賣方須自費采取必要措施排除缺陷或不符合本合同規(guī)定之處，當缺陷排除后，買方有權再次對貨物進行檢驗和測試，以保證交貨質量。
The Buyer's representative has the right to put forward opinions and temporarily not to make an confirmation as and when defects of equipment and materials are found and/or not in conformity with the standards and/or package requirements.
The Seller must take necessary measures at his own costs to eliminate such defects or other aspects that do not comply with the provisions of the Contract.
After the elimination of defects, the Buyer has the right to inspect and test the same goods once again to guarantee the quality of the delivery.
無論買方代表是否要求和是否知道，賣方均有義務主動及時地向買方提供合同設備制造過程中出現的質量缺陷和問題，不得隱瞞，在買方不知道的情況下賣方不得擅自處理。
The Seller has an obligation to report, without concealment, the Buyer any defects in quality and problems arising in the process of manufacture of the Contract Equipment on its own initiative in a timely manner, whether the Buyer's representatives require or know these or not and the Seller may not arbitrarily solve these problems before the Buyer knows them.
在交貨前，賣方應對每臺(套)貨物的質量、規(guī)格、性能、數量和重量等進行詳細而全面的檢驗，并出具一份證明貨物符合合同規(guī)定的檢驗證書。
Prior to delivery, the Seller shall carry out detailed and comprehensive inspection on each sets of goods in quality, specifications, performance, quantity and weight and issue an inspection certificate to conform that the goods is in conformity with the Contract.
發(fā)貨后兩天內，通過EMS將檢驗證書復印件寄送給買方。
The Seller shall send a copy of inspection certificate to the Buyer by EMS 2 days after shipment.
檢驗證書正本隨貨物一并交付買方。
The original inspection certificate, together with the goods, shall be delivered to the Buyer.
賣方應提供貨物運至合同規(guī)定的最終目的地所需要的包裝，以防止貨物在轉運中損壞或變質。
The Seller shall provide package required to transport the goods to final destination stipulated in the Contract to prevent any damage or deterioration to the goods in the course of transshipment.
這類包裝應采取防潮、防曬、防銹、防腐蝕、防震動及防止其它損壞的必要保護措施，從而保護貨物能夠經受多次裝卸、搬運及內陸的長途運輸，同時賣方對貨物的包裝應便于裝卸。
The Seller shall take necessary protective measures for this kind of packaging as damp-proof, free from sunshine, rust-proof, anti-corrosion, vibration-proof and other damages so that the protected goods can withstand repeated loading and unloading, handling and inland line-haul, and the Seller shall make packaging convenient for loading/unloading.
賣方應承擔由于其包裝或其防護措施不妥而引起貨物銹蝕、損壞和丟失的任何損失的責任和/或費用。
The Seller shall bear any responsibility and/or cost for any rusting, damage and loss of the goods incurred by its inappropriate packaging or preventive measures.

If single packing carton weighs 2 tons or more, the Seller shall mark with such words as“Center of gravity” and "Lifting point" on both sides of the packing carton for easy loading, unloading and transport.
根據貨物的特點和運輸的不同要求，賣方應在包裝箱上清楚地標注“小心輕放”“此端朝上，請勿倒置”，“保持干燥”等字樣和其他適當標記。
According to characteristics of goods and different requirements of transportation, the Seller shall mark on the packing cartons with such words as "Handle With Care", "This Side Up", “Keep Upright” and " Keep Dry" or other appropriate marks.

Terms of shipping
本合同下貨物交貨到項目現場的買方指定地點(車上交貨)。
The goods herein shall be delivered at the place in a project site defined by the Buyer (FOT).
賣方裝運的貨物不應超過合同規(guī)定的數量或重量。
The quantity or weight of the goods loaded and transported by the Seller is not allowed to exceed those stipulated in the Contact.
否則，買方對由此產生的一切費用和后果不承擔責任。
Otherwise, the Buyer shall not bear any costs and consequences therefrom.
裝運通知
Shipping Advice
賣方應在預計的裝運日期之前二十一天以傳真形式將合同號、貨物名稱、數量、箱數、總毛重、總體積(用m3表示)和備妥待運的日期通知買方，同時，賣方應用EMS把詳細的貨物清單一式五份，包括但不限于合同號、貨物名稱、規(guī)格、數量、總毛重、總體積(用m3表示)、每箱尺寸(長×寬×高)、單價、總金額、啟運地、備妥待運日期和貨物在運輸、儲存中的特殊要求和注意事項等通知買方。
Twenty one (21) days before expected shipping date, the Seller shall notify in FAX the Buyer of the Contract NO.

Meanwhile, the Seller shall inform the Buyer by EMS of detailed list of goods in 5 copies, including but not limited to the Contract No.
, description of goods specification, quantity, GW, TV (in m3), size (length ×? width ×height) of each packing carton, unit price, total amount, place of departure, date ready for shipping, as well as special requirements and precautions during transportation and stowing of goods.
賣方應在貨物裝完后二十四小時之內以傳真形式將合同號、貨物名稱、數量、總毛重、合同貨物的凈重、車次、預計到達目的地的時間、體積(用m3表示)、發(fā)票金額、運輸工具名稱及啟運日期通知買方。
Within 24 hours after loading the goods, the Seller shall notify the Buyer by facsimile of the Contract No, description of goods, quantity, gross weight, net weight of Contract Goods, vehicle No.
, estimated arrival time, volume (in m3), invoice value, conveyance name and date of departure.
同時應該傳真運單、保險單、商業(yè)發(fā)票、裝箱單、產品質量檢驗證書。
Meanwhile, the Seller shall fax shipping documents, insurance policy, commercial invoice, packing list and inspection certificate of quality.
如果每個包裝箱的重量超過20噸(t)，或體積達到或超過長12米(m)，寬2.
7米(m)和高3米(m)，賣方應將每個包裝箱的重量和體積通知買方，易燃品或危險品的細節(jié)還應另行注明。
If the weight of each packing carton is more than 20 tons or its volume is or more than 12m (length) ×? 2.
7m (width) ×? 3m (height), the Seller shall inform the Buyer of the volume and weight of each packing carton.
Also, details on inflammable or dangerous goods shall be noted separately.
賣方應在合同貨物裝運后(運單之日后)二(2)天內將運單副本一(1)份，保險單副本一(1)份，發(fā)票副本一(1)份，裝箱單一(1)份，產品質量檢驗證書復印件一(1)份通過EMS郵寄給收貨人。
In two (2) days after goods is loaded and shipped, the Seller shall send the consignee by EMS some documents including one (1) duplicate of waybill, one (1) copy of the insurance policy, one (1) duplicate of invoice, one (1) copy of packing list and one (1) copy of quality inspection certificate.
如果是因為賣方延誤不能用傳真形式和快遞將上述內容通知和寄送給買方，使買方不能及時辦理有關手續(xù)或安排收貨準備，由此而造成的全部損失應由賣方負責。
The Seller shall be responsible for all loss if he fails to inform the Buyer of and send to the Buyer all above information by Fax or Express, causing the Buyer not be able to handle related procedures or arrange preparation for receiving goods on time.
合同設備的保險
Insurance of Contract Equipment
賣方應對合同設備向買方項目公司所在地的保險公司以買方為受益人進行投保，使其免受一切損失或損害。
The Seller shall insure the contract equipment in favor of the Buyer in the insurance company where the Buyer’s project company is located to make it avoid all loss or damage.
賣方應對合同設備，根據水運、陸運和空運等運輸方式，向買方項目公司所在地的保險公司以買方為受益人投保發(fā)運合同設備價格110%的運輸一切險，保險區(qū)段為賣方倉庫到項目現場安裝后90日止。
Based on mode of transportation such as by sea, land or air, the Seller shall insure 110% all risk for the Contract Equipment in favor of the Buyer in the insurance company where the Buyer’s project company is located.
Also, the insurance begins until 90 days after the machine is from the Seller’s stock to the installation on site.
賣方應將合同設備運輸保險合同的副本于每一批設備交貨前10日提供給買方。
The Seller shall send the Buyer the duplicate of shipping insurance contract of Contract Equipment 10 days before each batch of equipment is delivered.
由于賣方原因未能提供以上保險合同副本，其發(fā)生的連帶責任將全部由賣方承擔。
The Seller shall bear all joint liabilities because the Seller fails to provide above copy of insurance contract on time.
運輸

賣方應負責辦理、支付將貨物運至項目現場一切運輸事項，相關費用已包括在合同總價中。
The Seller shall be responsible for handling and paying all transportation matters concerning delivery of the goods to the project site , the relevant cost is included in total contract price.
伴隨服務
Accompanying Services
賣方提供下列服務，包括但不限于合同條款與技術規(guī)格規(guī)定的服務：
The Seller shall provide following services, including but not limited to the services stipulated in Contract and technical specification.
提供微觀選址的復核服務；
Provide the recheck service for micro locating:
提供貨物及(包括但不限于)塔筒、基礎、通信方案等的設計、優(yōu)化、改進，在必要時對貨物進行改進，及時提供相應的技術資料，并應保證提供的設計、優(yōu)化、改進以及相關資料適合中水電江蘇如東海上風電場(潮間帶)100MW示范項目；
Provide goods (including but not limited to) and the design, optimization and improvement of tower, foundation and communication plans, when necessary, carry out improvement of the goods, provide corresponding technical data timely, and guarantee that the provided design, optimization, improvement and related technical data are suitable for the Jiangsu Rudong Offshore Wind Farm (Intertidal Zone) 100MW Demonstration Project of Sinohydro Corporation.
提供塔筒及其配件的監(jiān)造和/或技術指導；
Provide manufacture supervision and/or technical guidance of tower and its components;
實施和/或監(jiān)督所供貨物的現場組裝、安裝、調試和試運行；
Implement and/or supervise the site assembly, installation, commissioning and trial run of supplied goods;
提供貨物組裝和/或安裝和/或維修所需的工具；
Provide tools required for assembly and/or installation and/or maintenance of supplied goods;
為所供的每一適當的單臺(套)貨物提供詳細、完整的操作和維護手冊；為每一單臺(套)貨物作詳細、完整的組裝、安裝及調試記錄；
Provide detailed and complete operation and maintenance manuals for each proper set of goods; make detailed and complete record for assembly, installation and trial run for each proper set of goods;
對買方人員在賣方駐地和/或賣方分包人駐地和/或在項目現場就賣方所供貨物的組裝、安裝、試運行、運行、維護和/或修理進行培訓。
The Seller shall carry out training on assembly, installation, trial run, operation, maintenance and/or repair of the Buyer's employees at the Seller’s premises and/or the Seller’s subcontractor's premises and/or project site.
賣方應提供合同條款/技術規(guī)格中規(guī)定的所有服務。
The Seller shall provide all the services stipulated in the Contract or technical specifications.
為履行要求的伴隨服務的報價或雙方商定的費用已包括在合同總價中。
The fees for accompanying services or expenses agreed between both parties are included in the total contract price.

如果賣方提供合同條款/技術規(guī)格中規(guī)定的所有服務以外其他伴隨服務且費用未含在貨物的合同總價中，雙方應事先就其達成協議，但其費用單價不應超過賣方向其他人提供類似服務所收取的現行單價。
If the Seller provides other accompanying services excluded in the Contract/technical specifications and the fee is not included in total contract price, it should be agreed between both parties in advance, but its unit price should not exceed the current expense payable by other Seller's clients.
備件
Spare Parts
賣方提供二(2)年質保期內的備品備件，質保期結束后，賣方應補齊備品備件。
The Seller shall provide spare parts within a warranty period of 2 years, and the Seller shall make up all spare parts after warranty period.
質保期滿后五(5)年內，賣方應保證提供的備品備件價格不高于同期市場價格。
The Seller shall guarantee to provide spare parts at a price not higher than the market price in the same period within five (5) years after warranty period.
在原有備件停止生產后，賣方有義務開辟新的供應渠道和/或尋找替代原有備件的替代備件并滿足買方的備件需求；如果買方要求，賣方應免費向買方提供替代備件的藍圖、圖紙和規(guī)格等。
If the original spare parts are out of production, the Buyer shall be under the obligation to develop new supply channel and/or find substitution parts to meet the Buyer's requirements.
Upon the Buyer's requirement, the Seller shall offer blueprint, drawing and specification on substitution spare parts.
賣方應保證合同項下所供貨物是全新的、未使用過的、是最新或目前的型號，除非合同另有規(guī)定，貨物應含有設計上和材料的全部最新改進。
The Seller shall guarantee that all the goods under Contract should be unused, brand new, of the latest and current model, unless otherwise provided for in the Contract.
Goods shall include all latest improvement in design and materials.
賣方進一步保證，合同項下提供的全部貨物沒有設計、材料和/或工藝上的缺陷(由于按買方自身原因而提出的要求設計或按買方的規(guī)格提供的材料所產生的缺陷除外)，或者沒有因賣方的行為和/或疏忽而產生的缺陷，這些缺陷是所供貨物在國內現行條件下正常使用可能產生的。
The Seller further guarantees that all goods provided herein are free from any defect in design, material and/or workmanship (no including the defect due to the design requirement of the Buyer itself or manufactured according to the material provided by the Buyer), or without any defects due to the Buyer's action and /or negligence, these defects should be possible in the normal operation under current condition in our country.
賣方應在首批合同設備供貨前向買方提供第三方權威機構出具的與合同貨物同型號產品的認證證書。
Before supplying the first batch of the Contract Goods, the Seller shall provide the Buyer with certificates of same model as that of Contract Goods issued by an authoritative third party.
質量保證期內，賣方應對所提供合同設備的設備可利用率和功率曲線給予保證，貨物的可利用率和功率曲線特性的保證值見技術規(guī)范部分。
Within the warranty period, the Seller shall guarantee the availability and power curve of provided Contract Equipment, see technical specifications for the guaranteed values of availability and power curve for the goods.
買方以書面形式通知賣方保證期內所發(fā)現的缺陷。
The Buyer informs the Seller of the defects found in the warranty period in writing.
售后服務要求：
Requirements of After-Sales Service:
在質量保證期內，如出現產品質量問題，賣方應在接到買方發(fā)出的設備故障信息后二十四小時內予以響應，并在雙方商定時限內或七十二小時內須到達現場開始解決問題。
If there is quality problem in warranty period, the Seller shall respond to equipment failure information issued by the Buyer in 24 hours and must arrive at spot within the time agreed by both parties, or start to eliminate the problems in 72 hours.
賣方應免費維修或更換有缺陷的貨物或部件。
The Seller shall provide free maintenance or replacement of defective goods or parts.
賣方應自費將被修理或更換的貨物或部件運至項目現場或買方指定的最終目的地
The Seller shall send the maintained or replaced components or goods to the project site or destination specified by the Buyer.
在質量保證期內，貨物或部件(包括但不限于葉片、變槳系統、發(fā)電機、變流系統、輪轂、偏航軸承、主軸)需要更換或修理，那么經更換或修理的貨物或部件的質量保證期應為買方對更換或修理設備重新預驗收合格后次日起二年。
If the goods or components are replaced or repaired in warranty period (including but not limited to vanes, pitch systems, generators, variable-flow systems, wheels spiders, yaw bearings, and main axle), the warranty period for replaced or repaired goods or components shall be two years starting from the following day after the Buyer carries out pre-acceptance for the replaced or repaired equipment.
如果有缺陷的合同設備需要調整或校準而使合同設備運行被迫停止，如其責任屬于賣方，質量保證期應按照停運的時間相應延長。
When the defective equipment has to be adjusted or corrected to stop operation of the Contract Equipment, in case it is the Seller's responsibility, the warranty period shall be extended according to down time period.
如果合同設備有重大缺陷，經過修理或更換，貨物六個月后(自調試完成之日起)仍不能通過試運行，買方有權要求賣方更換整臺(套)貨物。
If the Contract Equipment has crucial defects, which cannot pass the trial run six months (starting from the date after commissioning) after it is repaired or replaced, the Buyer has the right to ask the Seller to replace the set of goods.
賣方保證合同設備的設計使用壽命不少于二十年。
The Seller warrants that the designed service life for the Contract Equipment is not less than 20 years.
貨物實際功率曲線比保證功率曲線保證值每降低百分之一(1％)，賠償該臺(套)貨物合同總價的百分之一(1％)。
If the average power curve of the goods is one percent (1%) lower than guaranteed power curve, the Seller shall compensate one percent （1%） of the total contract price for the set of goods.
賠償總額不超過該臺設備總價的百分之十(10％)。
The aggregate amount of compensation does not exceed ten percent (10%) of the total Contract Equipment price.
合同設備平均可利用率比保證平均可利用率保證值每降低百分之一(1％)，賠償合同設備總價的百分之一(1％)，賠償總額不超過合同總價的百分之十二(12％)。
If the average availability of the Contract Equipment is one percent (1%) lower than guaranteed availability, the Seller shall compensate one percent （1%） of the total Equipment Price, but the aggregate amount of compensation should not exceed twelve percent (12%) of the total Contract Price.
如果單臺機組可利用率低于百分之八十(80％)，賣方應無償為買方更換新的合同設備。
If the availability of a single unit is lower than eighty percent (80%), the Seller shall replace this unit with a new one for free.
