協(xié)議(下文稱作“合同”)于____由_____有限公司,一個(gè)符合中華人民共和國(guó)法律、總部位于中國(guó)_____的股份有限公司(下文稱作“制造商”)作為甲方,與___,一個(gè)符合____法律、總部位于____股份有限公司(下文稱作“Representative代理商”)作為乙方簽訂。
THIS AGREEMENT( henceforth the ”Contract”), made on this day by and between ____Co. Ltd. an incorporated company and existing under the laws of Republic of China, with its principal office at ____(henceforth called the “Principal”) as the First Party and _____ , an incorporated company and existing under the laws of ____, with its principal office at _____(henceforth called the “Representative”) as the Second Party.
第1條 銷售領(lǐng)域和產(chǎn)品Article 1 - Territory and Products
1.1 制造商指定代理商作為其商業(yè)銷售代表,在土耳其領(lǐng)域內(nèi)(下文稱作“銷售領(lǐng)域”)推廣360度投影系統(tǒng)的銷售(下文稱作“產(chǎn)品”)。
The Principal appoints the representative, who accepts, as his commercial sales representative to promote the sale of 360 Degree Projection Systems (hereinafter called 'The Products') in the territory of Turkey (hereinafter called 'the Territory').
1.2 如制造商決定在銷售領(lǐng)域內(nèi)銷售其他任何產(chǎn)品,應(yīng)告知代理商并討論是否有可能將其納入條款1.1所規(guī)定的產(chǎn)品范圍。但如由于新產(chǎn)品的特點(diǎn)和代理商的專業(yè)原因認(rèn)定代理商不可能代理該產(chǎn)品(如一個(gè)完全不同領(lǐng)域的產(chǎn)品),則不承擔(dān)以上告知經(jīng)銷商的責(zé)任。
If the principal decides to sell any other products in the Territory, he shall inform the representative in order to discuss the possibility of including them within the Products defined under article 1.1. however , the above obligation to inform the distributor does not apply if, in consideration of the characteristics of the new products and the specialty of the representative, it is not to be expected that such products may be represented by the representative (e.g. products of a completely different range).
第2條 誠(chéng)信和公平交易Article 2 - Good faith and fair dealing
2.1雙方在履行本協(xié)議責(zé)任時(shí),應(yīng)堅(jiān)持誠(chéng)信原則和公平交易。
In carrying out their obligations under this agreement the parties will act in accordance with good faith and fair dealing.
2.2 應(yīng)善意解釋本協(xié)議條款以及雙方作出的與本代理商關(guān)系相關(guān)的任何陳述。
The provisions of this agreement, as well as any statements made by the parties in connection with this representative relationship, shall be interpreted in good faith.
條款3 代理商的職責(zé)Article 3 - Representative's functions
3.1 代理商將盡力在銷售領(lǐng)域內(nèi)按照制造商的合理要求推廣產(chǎn)品的銷售,并作為有責(zé)任心的商人,努力保護(hù)制造商利益。
The Representative agrees to use his best endeavours to promote the sale of the products in the territory in accordance with the Principal's reasonable instructions and shall protect the Principal's interests with the diligence of a responsible businessman.
3.2 除得到制造商同意之外,代理商不應(yīng)要求銷售領(lǐng)域外的訂單。
The Representative shall not solicit order from outside the Territory unless permitted to do so by the Principal.
3.3除另行協(xié)商同意之外,代理商有權(quán)代表第三方組織次級(jí)代理商或使其向第三方負(fù)責(zé)。
Unless otherwise specifically agreed, the representative has authority to organize sub-representative on behalf of, or in any way to bind the representative towards third parties.
第4條 制造商接受訂單Article 4 - Acceptance of orders by the Principal
4.1 對(duì)于產(chǎn)品范圍之外的特殊產(chǎn)品,制造商應(yīng)告知代理商其是否接受或拒絕后者轉(zhuǎn)達(dá)的訂單,不應(yīng)延誤。制造商可決定是否接受或拒絕代理商轉(zhuǎn)達(dá)的任何訂單。
For the special products which are out of scope of products, the Principal shall inform the representative without undue delay of his acceptance or rejection of the orders transmitted by the latter. The principal may accept or reject any individual order transmitted by the representative at his own discretion.
第5條 不競(jìng)爭(zhēng)承諾Article 5 - Undertaking not to compete
5.1除得到制造商事先書面授權(quán),代理商在整個(gè)合同期間不應(yīng)代理、生產(chǎn)或銷售任何與產(chǎn)品存在競(jìng)爭(zhēng)的產(chǎn)品。
Without the prior written authorization of the Principal, the representative shall not represent, manufacture or distribute any products that are in competition with the Products, for the entire term of this contract.
5.2在提前告知制造商的條件下,代理商可代理、銷售或生產(chǎn)與本產(chǎn)品不存在競(jìng)爭(zhēng)關(guān)系的任何產(chǎn)品。但如代理商將代理的產(chǎn)品特點(diǎn)及將代理制造商的經(jīng)營(yíng)范圍不影響制造商利益,則無(wú)需履行上述告知制造商之責(zé)任。
The representative may represent, distribute or manufacture any products that are not competitive with the Products, provided he informs the Principal in advance of such activity. However, the above obligation to inform the Principal dose not apply if, in consideration of the characteristics of the products which the representative wants to represent, and of the field of activity of the Principal for whom the representative wishes to act, it is unreasonable to expect that the principal's interests may be affected.
第6條 銷售組織,廣告和貿(mào)易洽談會(huì)Article 6 - Sales organization, Advertising and Fairs
6.1代理商應(yīng)提供具備必要人員和設(shè)備的組織,進(jìn)行銷售及適當(dāng)情況下的售后服務(wù),以保證完成銷售領(lǐng)域內(nèi)的合同責(zé)任。
The representative shall provide an adequate organization for sales and, where appropriate, after-sales service, with all necessary means and personnel, in order to ensure the fulfillment of his obligations throughout the Territory under this agreement.
6.2雙方應(yīng)就在銷售領(lǐng)域內(nèi)共同進(jìn)行的廣告協(xié)商一致。廣告內(nèi)容應(yīng)告知制造商,并得到其認(rèn)可。廣告費(fèi)用應(yīng)由代理商承擔(dān)。
The parties may agree on the advertising to be jointly made in the Territory. The contents of advertising shall be informed to and agreed by the principal. The cost of advertising carried out by the representative.
6.3雙方應(yīng)就其在銷售領(lǐng)域內(nèi)是否參加展銷會(huì)或展覽會(huì)達(dá)成一致。代理商參加貿(mào)易洽談會(huì)和展覽會(huì)的費(fèi)用應(yīng)根據(jù)雙方認(rèn)可的書面計(jì)劃書分?jǐn)偂?
The parties shall agree on their participation in fair or exhibitions within the Territory. The cost of the representative's participation in such fairs and exhibitions shall be apportioned between the parties by agreed in writing during plan.
第7條-銷售目標(biāo)-保證完成的最低目標(biāo)
Article 7 - Sales targets -Guaranteed Minimum target
7.1雙方每年就下一年的銷售目標(biāo)協(xié)商一致。
The parties may agree annually on the sales targets for the forthcoming year.
7.2雙方應(yīng)盡力完成協(xié)商一致的目標(biāo)。但如一方未達(dá)到目標(biāo),不應(yīng)視作違反合同,除非該方存在明顯過(guò)錯(cuò)。
The parties shall make their best efforts to attain the targets agreed upon, but the non attainment shall not be considered as a breach of the contract by a party, unless that party is clearly at fault.
7.3代理商同意向制造商提供產(chǎn)品的三個(gè)項(xiàng)目,擔(dān)保完成第一年十二個(gè)月的最低目標(biāo)。
The representative may agree to guarantee three (3) projects of products as Minimum Target to the principal considering the first year with 12 month.
第8條-分銷商Article 8 - Sub-distributor
制造商同意代理商進(jìn)行業(yè)務(wù)并對(duì)分銷商具有追索權(quán),但代理商應(yīng)對(duì)其分銷商的工作以及所有行為負(fù)責(zé)。
The principal agree that the representative carry out his activity with recourse to sub-representative, but representative shall be responsible for his sub-representative's works and all of acts.
第9條-制造商知情權(quán)Article 9 - Principal to be kept informed
9.1代理商應(yīng)盡力使制造商了解其業(yè)務(wù)范圍內(nèi)的市場(chǎng)情況及銷售領(lǐng)域內(nèi)的競(jìng)爭(zhēng)情況,并應(yīng)回答制造商關(guān)于信息的任何合理問(wèn)題。
The representative shall exercise due diligence to keep the Principal informed about his activities market conditions and the state of competition within the Territory. He shall answer any reasonable request for information made by the Principal.
9.2.代理商應(yīng)盡力使制造商了解第9.1條中在銷售領(lǐng)域內(nèi)適用且產(chǎn)品必須遵循的法律法規(guī)(如進(jìn)口規(guī)則、商標(biāo)、技術(shù)規(guī)范、安全要求等),以及與制造商活動(dòng)相關(guān)的法律法規(guī)。
The representative shall exercise due diligence to keep the Principal informed about 9.1 the laws and regulations that are to apply in the Territory to which the Products must conform (e.g. import regulations, labeling, technical specifications, safety requirements, etc.) and the laws and regulations concerning his activity, as far as they are relevant for the Principal.
第10條-產(chǎn)品價(jià)格Article 10 - Product price
對(duì)各項(xiàng)目的詢價(jià),訂單與發(fā)貨單中的價(jià)格與制造商的書面認(rèn)可和報(bào)價(jià)同等有效。代理商有權(quán)公開(kāi)招標(biāo)談判最終報(bào)價(jià)或批發(fā)報(bào)價(jià),在制造商同意的前提下價(jià)格包括本文中的一般意外損失準(zhǔn)備金。
Price shall be valid as in Offer and Invoice as agreed and offered by the principal in writing for every individual project inquiry. However, the representative has the right to negotiate the final Offer price in public tenders or wholesale offers, to extend agreed also by the Principal to cover general contingencies involved herein.
第11條-付款條件Article 11 - Terms of payment
11.1 合同價(jià)值應(yīng)由以制造商為受益人100%保兌的不可撤銷信用證支付,信用證須在下訂單時(shí)開(kāi)具并保兌且在遞送單據(jù)時(shí)即可支付。
Payment shall be made by 100% of the contract value out of an irrevocable and confirmed Letter of Credit, in the principal favour, opened with and confirmed at the moment placing the order and payable against sending documents.
11.2信用證應(yīng)允許分批裝運(yùn)或轉(zhuǎn)運(yùn),有效期三周。信用證在通知銀行應(yīng)為可轉(zhuǎn)讓信用證。
The Letter of Credit should allow partshipments and Transshipments, and must be valid until 3
weeks. The Letter of Credit should be transferable at advising bank.
第12條-交貨時(shí)間Article 12 - Delivery time
應(yīng)在完成所有法律手續(xù)后確定交貨時(shí)間。交貨時(shí)間應(yīng)從制造商收到交貨確認(rèn)書的最后時(shí)間開(kāi)始。
The delivery time shall be defined up to settlement of all technical formalities. The delivery time starts from the last of the data on which principal receive confirmation.
第13條-保證Article 13 - Warranty
13.1制造商保證,除正常磨損和磨損件以外,根據(jù)本合同提供的設(shè)計(jì)、資料和產(chǎn)品在材料和工藝上應(yīng)無(wú)缺陷并符合所有技術(shù)規(guī)范。
The principal warrants that the design, information and the products provided in accordance with the contract shall be free from defects in material and workmanship and shall conform to all its specifications except normal wear and tear parts.
13.2如自發(fā)貨日起十二個(gè)日歷月內(nèi)出現(xiàn)任何缺陷產(chǎn)品或不合格服務(wù)。
If it appears that, within twelve (12) calendar months from the date of shipping, any defected products or non qualified services.
13.3如由于不合格的設(shè)計(jì)和軟件造成產(chǎn)品缺陷,且相同缺陷在同一部件重復(fù)出現(xiàn),制造商應(yīng)免費(fèi)更換軟件和部件。
If it appear that defect of product which is occurred by non qualified design, software which is not enough and continuous defect on the same one component, the principal shall consider to replace software and component with free of charge.
13.4如由于代理商違反合同,造成不能使用產(chǎn)品,代理商遭受間接損害或他人向代理商索賠,制造商對(duì)合約人不承擔(dān)賠償責(zé)任。
The principal shall not be liable to the contractor by way of indemnity or by reason of any breach of representative for loss of use, of the works or any indirect or consequential damage that may be suffered by the representative or which could be claimed from him.
第14條-本地生產(chǎn)Article 14 – Local production
14.1為爭(zhēng)取競(jìng)爭(zhēng)優(yōu)勢(shì),在雙方協(xié)商一致的條件下同意在土耳其進(jìn)行本地生產(chǎn),生產(chǎn)或提供產(chǎn)品的某些部件。制造商應(yīng)為本地生產(chǎn)提供技術(shù)資料、制造圖、監(jiān)督和生產(chǎn)手冊(cè)等,經(jīng)銷商應(yīng)提供進(jìn)行本地生產(chǎn)所需的工廠、工程師、設(shè)備、技術(shù)人員和工具等。
In order to good competition, the party may agree to produce or supply some part of the product in Turkey as local production in case of both parties agreed upon. The principal shall supply technical data, shop drawing, supervisory, fabrication manual and others, if any and the distributor shall supply adequate factory, engineers, equipment, technician, tools and others to fabricate local production.
第15條-代理商的傭金Article 15 –Representative’s commission
15.1代理商有權(quán)收取傭金,作為其在合同期內(nèi)向銷售領(lǐng)域客戶銷售產(chǎn)品的勞動(dòng)報(bào)酬。
The representative is entitled to the commission to compensate of his works for all sales of the products which are made during the terms of this contract to customers in the territory.
15.2傭金數(shù)額應(yīng)在與客戶簽訂合同前,根據(jù)雙方的協(xié)商一致以及單個(gè)項(xiàng)目決定并計(jì)算,應(yīng)由雙方協(xié)商一致。
Sum of commission shall be decided and calculated on individual project before contract to customer on agreed by both parties.
15.3除另行書面協(xié)商一致以外,傭金包括代理商為完成本合同責(zé)任而產(chǎn)生的所有費(fèi)用(如電話,傳真,辦事處或出差費(fèi)用等)。
Unless otherwise agreed in writing, the commission covers any expenses incurred by the representative in fulfilling his obligations under this contract (such as telephone, fax, office,travel expenses, etc.)
15.4傭金應(yīng)根據(jù)有效銷售價(jià)格及發(fā)貨單凈額計(jì)算(扣除現(xiàn)金折扣之外的所有折扣),不包括附加費(fèi)(如包裝、運(yùn)輸和保險(xiǎn)),各種關(guān)稅或稅款(包括增值稅),但此類附加費(fèi)、關(guān)稅和稅款應(yīng)在發(fā)貨單中單獨(dú)說(shuō)明。
Commission shall be calculated on the net amount of the invoices on the effective sales price (any discount other than cash discounts be in deducted) clear of any additional charges (such as packing, transportation, insurance) and clear of all tariffs or taxes (including value-added tax) of any kind, provided that such additional charges, tariffs and taxes are separately stated in the invoice.
15.5代理商應(yīng)在客戶全額支付發(fā)貨單價(jià)格后獲得傭金。如客戶部分支付銷售合同款,代理商有權(quán)獲得相應(yīng)比例的預(yù)付款。應(yīng)在客戶付清款項(xiàng)當(dāng)月的最后一天前支付傭金。
The representative shall acquire the rig to commission after full payment by the customers of the invoiced price. In case of partial payment made in with the sales contract, the representative shall be entitled to a proportional advance payment. The commission shall be paid not later than the last day of the month in clear of payment from customer.
15.6.如制造商需獲得政府授權(quán)(如由于制造商所在國(guó)的外匯管理法規(guī))才能向境外轉(zhuǎn)帳傭金或代理商應(yīng)得的其他任何款項(xiàng),應(yīng)在獲得相應(yīng)授權(quán)后支付款項(xiàng)。制造商應(yīng)采取所有必要措施,獲得上述授權(quán)。
Should any governmental authorization (e.g. due to exchange control regulations in the Principal’s country) be necessary for the Principal to transfer abroad the commission or of any other sum the representative may be entitled to receive), then the payment of the amount shall be made after such authorization has been given. The Principal shall take all necessary steps for obtaining the above authorizations.
15.7除另行協(xié)商一致之外,傭金應(yīng)以銷售合同規(guī)定的貨幣計(jì)算。
Exception as otherwise agreed, the commission shall be calculated in the currency of the sales contract in respect of which the commission is due.
15.8代理商傭金在銷售領(lǐng)域內(nèi)需征收的任何稅費(fèi),均由代理商支付。
Any taxes imposed on the representative’s commission in the Territory are for the representative’s account.
第16條-售后服務(wù)Article 16 - After service work
制造商完成草簽銷售合同規(guī)定的服務(wù)條款后,為保證客戶滿意度和品牌的高價(jià)值,代理商能夠并有責(zé)任以合格的技術(shù)提供產(chǎn)品的售后服務(wù),并自行承擔(dān)費(fèi)用。代理商不能以任何借口延誤售后服務(wù)工作,造成客戶抱怨。制造商應(yīng)向代理商提供所有信息產(chǎn)品、軟件和詳細(xì)的操作維護(hù)手冊(cè),并派遣工程師培訓(xùn)代理商的技術(shù)人員。除銷售合同另行規(guī)定以外,制造商為培訓(xùn)代理商技術(shù)人員所派遣工程師的所有差旅費(fèi)應(yīng)由代理商支付。
After the service terms set forth in the initial Sales Contract has been successfully carried out by the Principal, for the customer satisfaction and high value of brand, the representative shall be capable and responsible to carry out of after service work of products with qualified workmanship with his cost and understand that is no excuse to delay after service work for customers complainment. Also the principal shall supply representative all of information products, software and detailed Operation & Maintenance Manual and dispatched his engineer to do training representative's technicians. When the principal dispatches his engineer to train the representative’s technicians, all of travel cost shall be paid by the representative, unless otherwise is agreed upon in the sales Contract.
第17條-進(jìn)口許可證Article 17 - Certification of importing
17.1雙方了解,根據(jù)現(xiàn)行法律,在銷售領(lǐng)域內(nèi)銷售和進(jìn)口產(chǎn)品須獲得土耳其政府的認(rèn)可。
The parties well understand that it is necessity to be approved Turkey ministry approval according to governing law to sale and import products in territory.
17.2制造商應(yīng)提供所有政府認(rèn)可所需的文件,包括特征性商標(biāo)、主要控件圖、操作手冊(cè)和產(chǎn)品材料質(zhì)量等。
The principal shall supply all of submitted documents for approval such as characteristic label, drawings of main commands, instruction manual, material quality used to products and others if any.
17.3代理商應(yīng)完成獲得銷售領(lǐng)域內(nèi)認(rèn)可所需的所有工作,并支付所有費(fèi)用,包括稅款、實(shí)驗(yàn)室試驗(yàn)和所有政府文件。
The representative shall perform all of act to process approval in territory and all investments are to be paid by representative including taxes, laboratory test and all the bureaucracy papers.
第18條-文件Article 18 - Documents
制造商應(yīng)快速提供所有需提交的文件,文件語(yǔ)言應(yīng)為英語(yǔ)。
All of submitted documents shall be supplied by the principal promptly and language shall be applied with English.
第19條-商標(biāo)和符號(hào)Article 19 - Trademarks and symbols
19.1代理商可在本合同范圍內(nèi)使用制造商的商標(biāo)、商品名稱和其他任何符號(hào),但僅限用于推廣制造商的產(chǎn)品。
The representative can use the principal's trademarks, trade names or any other symbols, but for the only purpose of identifying and advertising the Products, within the scope of this contract and in the Principal's sole interest.
19.2代理商同意其在銷售領(lǐng)域內(nèi)及其他任何地方均未注冊(cè)且將不會(huì)注冊(cè)制造商的任何商標(biāo)、商品名稱或符號(hào)(或與制造商混淆性相似的商標(biāo)、商品名稱和標(biāo)志)。
The representative hereby agrees neither to register, nor to have registered, any trademarks, trade names or symbols of the Principal (or which are confusingly similar to those of the Principal) in the Territory or elsewhere.
19.3無(wú)論因何種原因終止本合同,代理商應(yīng)立即停止根據(jù)本條款第一段使用制造商商標(biāo)、商品名稱或符號(hào)的權(quán)利。
The right to use the Principal's trademarks, trade names or symbols, as provided for under the first paragraph of this article, shall cease immediately for the representative, on the expiration or termination, for any reason, of the present contract.
19.4代理商如發(fā)現(xiàn)任何侵害制造商商標(biāo)、商品名稱或符號(hào)的行為,應(yīng)告知制造商。
The representative shall notify the principal any infringement of the principal's trademarks, trade names or symbols that comes to his notice.
19.5制造商同意代理商在產(chǎn)品上同時(shí)使用水晶石數(shù)字科技有限公司和代理商自身的商標(biāo)和品牌。
Principal grant that representative can use the representative’s own trademark and brand on to the products together with principal Crystal Digital Technology Co. Ltd. brand.
第20條-客戶投訴Article 20 - Complaints by customers
代理商在收到客戶關(guān)于產(chǎn)品的投訴,應(yīng)立即提供售后服務(wù)并告知制造商。雙方應(yīng)迅速有效地處理上述投訴。
The representative shall immediately provide after service work and inform the principal of any observations or complaints received from customers in respect of the Products, The parties hereto shall deal promptly and property with such complaints.
第21條-專營(yíng)權(quán)Article 21 - Exclusivity
制造商應(yīng)授予代理商合同期內(nèi)在銷售領(lǐng)域的非獨(dú)家經(jīng)銷權(quán)或同意其在合同期內(nèi)銷售產(chǎn)品。但在合同期后6個(gè)月,制造商應(yīng)授予代理商專營(yíng)權(quán)或簽字終止合同。
The Principal shall, during the life of this contract, grant representative within the Territory the nonexclusive right or to sell the products during term of contract, but date of 6 month after contract date, the principal shall grant the representative exclusive right or expire of contract by writing with signature.
第22條-代理商知情權(quán)Article 22 - Representative to be kept informed
22.1制造商應(yīng)向代理商提供所有與產(chǎn)品相關(guān)的必要書面資料(包括價(jià)格清單、手冊(cè)、影像片和動(dòng)畫等),以及代理商履行本合同責(zé)任所需的資料。
The Principal shall provide the representative with all necessary written information relating to the Products (such as price lists, brochures, demo reels, animations etc) as well as with the information needed by the representative for carrying out his obligations under the contract.
22.2制造商還應(yīng)告知代理商是否接受,拒絕和/或不執(zhí)行代理商轉(zhuǎn)達(dá)的任何業(yè)務(wù),不應(yīng)延誤。
He shall furthermore inform the representative without undue delay of his acceptance, refusal and/or non-execution of any business transmitted by the representative.
22.3制造商應(yīng)使代理商了解銷售領(lǐng)域內(nèi)任何與客戶溝通相關(guān)的信息。
The Principal shall keep the representative informed of any relevant communication with customers in the Territory.
第23條-合同期限Article 23 - Term of the contract
23.1合同自雙方簽字當(dāng)日生效,有效期為一日歷年。
This contract enters into force on the date it is signed by both parties and shall remain in force for 1 (one) calendar year.
23.2一日歷年后,雙方將決定建立新型關(guān)系的可能性。
Following the 1(one) calendar year period, parties will decide about a possible new set-up of their relationship.
第24條-未完成的業(yè)務(wù)Article 24 - Unfinished business
在合同期內(nèi)以及合同到期后6個(gè)月內(nèi),銷售領(lǐng)域內(nèi)代理商轉(zhuǎn)達(dá)的訂單或制造商從客戶處收到的訂單應(yīng)歸代理商所有。
Orders transmitted by the representative or received by the Principal from customers established in the Territory before the expiry or termination of this contract and which result in the conclusion of a contract of sale not more than six months after such expiration, shall entitle the representative.
第25條-提前終止Article 25 - Earlier termination
25.1如一方違反合同責(zé)任或發(fā)生提前終止合同的特殊情況,各方可通過(guò)以下有憑據(jù)和接收日期的方式進(jìn)行書面通知(如有回執(zhí)的掛號(hào)信、特快專遞和傳真),立即終止合同。
Each party may terminate this contract with immediate effect, by notice giving in writing by means of communication ensuring evidence and date of receipt (e.g. registered mail with return receipt, special courier, fax, in case of a substantial breach by the other party of the obligations arising out of the contract, or in case of exceptional circumstances justifying the earlier termination.
25.2如任何一方未履行合同所有或部分責(zé)任,導(dǎo)致另一方的合同權(quán)利受到損害,應(yīng)視作違反上述第23.1條款。如要求合同終止方繼續(xù)履行本合同確實(shí)不合理,應(yīng)視作上述第23.1的例外情況。
Any failure by a party to carry out all or part of his obligations under the contract resulting in such detriment to the other party as to substantially deprive him of what he is entitled to expect under the contract, shall be considered as a substantial breach for the purpose of article 23.1., above. Circumstances in which it would be unreasonable to require the terminating party to continue to be bound by this contract shall be considered as exceptional circumstances for the purpose of article 23.1, above.
25.3本合同雙方認(rèn)為違反本合同第5條和7.3條是違約行為,能證明其未構(gòu)成違約的情況除外。如在一方要求完成合同責(zé)任的情況下反復(fù)發(fā)生不履行合同責(zé)任的行為,則視作違約。
The parties hereby agree that the violation of the provisions under 5, 7.3 of the present the contract is to be considered in principle, unless the contrary is proved, as a substantial breach of the contract. Moreover, any violation of the contractual obligations may be considered as a substantial breach, if such violation is repeated notwithstanding a request by the other party to fulfill the contract obligations.
25.4且雙方認(rèn)為以下情況,包括一方破產(chǎn)、延期付款、破產(chǎn)在管、清算或債務(wù)人和債權(quán)人之間任何形式的和解及可能影響一方履行本合同責(zé)任的其他情況均應(yīng)為可提前終止合同的特殊情況。
Furthermore, the parties agree that the following situations shall be considered as exceptional circumstances that justify the earlier termination by the other party bankruptcy, moratorium, receivership, liquidation or any kind of composition between the debtor and the creditors, or any circumstances that are likely to affect substantially one part's ability to carry out his obligations under this contract.
第26條-終止合同的賠償Article 26 - indemnity in case of termination
如終止合同,代理商無(wú)權(quán)要求商譽(yù)賠償或其他類似賠償。本規(guī)定不限制代理商要求賠償因制造商違反并終止合同所帶來(lái)?yè)p失的權(quán)利。
The representative shall not be entitled to an indemnity for goodwill or similar compensation ('goodwill Indemnity') in case of termination of the contract. This provision does not limit the representative right to claim damages for breach of contract as far as the termination by the Principal amounts to such a breach.
第27條-歸還文件和樣品Article 27 - Return of documents and sample
本協(xié)議到期后,代理商應(yīng)歸還制造商所有廣告資料,以及制造商向代理商提供的其他文件和樣品。
Upon expiry of this agreement the representative shall return to the principal all advertising material and other documents and samples which have been supplied to him by the Principal and are in therepresentative 's possession.
第28條-仲裁-適用法律Article 28 - Arbitration -Applicable law
28.1任何由于現(xiàn)行合同引起或與之相關(guān)的爭(zhēng)端,均應(yīng)根據(jù)國(guó)際商會(huì)仲裁庭調(diào)解與仲裁規(guī)則,由一個(gè)或多個(gè)指定的仲裁員解決。
Any dispute-arising out of or in connection with the present contract shall be finally settled in accordance with the Rules of Conciliation a. d Arbitration of the International Chamber of Commerce by one or more arbitrators designated in accordance to said Rules.
28.2本合同的適用法律為_(kāi)____。This contract is governed by the laws of The law.
28.3仲裁員認(rèn)為在任何情況下均適用代理商所在國(guó)法律的強(qiáng)制條款,即使雙方將協(xié)議提交給外國(guó)法律。由于上述條款包括廣泛認(rèn)可的原則,如在國(guó)際貿(mào)易中適用合理和/或執(zhí)行仲裁裁決中適用的情況下,仲裁員可考慮以上條款。
The arbitrators shall in any case consider such mandatory provisions of the law of the country where representative is established which would be applicable even if the parties submit the agreement to a foreign law. The arbitrators may take the above provisions into account to the extent they embody principles that are universally recognized and provided their application appears reasonable in the context of international trade and/or appear to be relevant for the enforcement of the arbitral award.
第29條-現(xiàn)行合同下自動(dòng)結(jié)束Article 29 - Automatic inclusion under the present contract
本合同附件是合同不可分割的一部分。所有附件或未完成的分附件,僅在本合同說(shuō)明的范圍和情況下有效。
The annexes attached to this contract form an integral part of the agreement. Annexes or parts of annexes that have not been filled in will be effective only to the extent and under the conditions indicated in this contract.
第30條-以前協(xié)議更改無(wú)效Article 30 - Previous agreements modification nullity
30.1本合同替代雙方之前就本方面簽訂的所有協(xié)議。
This contract supersedes any other preceding agreement between the parties on the subject.
30.2除書面增補(bǔ)和修改,本合同的所有增補(bǔ)或修改均為無(wú)效。但如一方信任另一方的非書面增補(bǔ)或修改,該情況例外。
No addition or modification to this contract shall be valid unless made in writing. However, a party may be precluded by his conduct from asserting the invalidity of additions or modifications not made in writing to the extent that the other party has relied on such conduct.
30.3除基本條款以外,即如合同雙方(或該條款受惠方)知道該條款無(wú)效的情況下不會(huì)簽訂合同,合同具體條款的無(wú)效性不導(dǎo)致整個(gè)協(xié)議無(wú)效,。
The nullity of a particular clause of this contract shall not entail the nullity of the whole agreement, unless such clause is to be considered as substantial, i.e.. if the clause is of such importance that the parties (or the party to the benefit of which such clause is made) would not have entered into the contract if it had known that the clause would not be valid.
第31條-禁止轉(zhuǎn)讓Article 31 - Prohibition of assignment
除獲得雙方事前書面同意,現(xiàn)行合同不得轉(zhuǎn)讓。
The present contract cannot be assigned without prior written agreement between the both parties
